1. INTRODUCTION

Welcome to Charm’d (“Charm’d”, “Platform”, “we”, “our”, or “us”), a relationship discovery, compatibility, community engagement, gifting, and social connection platform operated by Aureon Leon Private Limited.

These Terms & Conditions (“Terms”) govern your access to and use of the Platform.

By creating an account, accessing, browsing, registering for, or using any part of the Platform, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must discontinue use of the Platform immediately.

2. ACCEPTANCE OF TERMS

By accessing or using the Platform, you represent and warrant that:

• You have read these Terms.
• You understand these Terms.
• You agree to comply with these Terms.
• You are legally capable of entering into binding agreements.
• You will comply with applicable laws and regulations.

Your continued use of the Platform constitutes ongoing acceptance of these Terms.

3. ELIGIBILITY

To use Charm’d, you must:

• Have the legal capacity to enter into contracts.
• Not be prohibited from using online services under applicable law.
• Provide truthful and accurate information.

Charm’d reserves the right to verify eligibility at any time.

4. AGE RESTRICTIONS

Charm’d is intended exclusively for adults.

Individuals under the age of eighteen (18) are prohibited from:

• Registering accounts
• Accessing user features
• Participating in communities
• Using messaging systems
• Accessing premium services

If Charm’d becomes aware of underage use, the account may be suspended or permanently removed.

5. ACCOUNT REGISTRATION

Users may be required to create an account.

Users agree that information provided will be:

• Monitoring account activity

Users must promptly notify Charm’d if they suspect:

Charm’d shall not be responsible for losses resulting from user failure to protect account credentials.

7. NATURE OF THE PLATFORM

Charm’d provides tools and services designed to facilitate:

• Relationship discovery
• Compatibility recommendations
• Community participation
• Messaging
• Gifting experiences
• Social interactions
• Events and experiences
• Premium services

Charm’d is a technology platform.

Charm’d does not act as:

• A marriage bureau
• A matrimonial agency
• A counselling service
• A psychological service
• A background verification agency

8. NO GUARANTEE OF OUTCOMES

Charm’d makes no representation or warranty regarding:

• Relationship success
• Compatibility
• Friendships
• Dating outcomes
• Engagements
• Marriages
• User behaviour
• User intentions

Any compatibility score, recommendation, or match suggestion is informational only.

Users remain solely responsible for decisions and interactions.

9. USER RESPONSIBILITIES

Users agree to:

• Provide truthful information.
• Respect other users.
• Comply with laws.
• Use the Platform responsibly.
• Respect privacy rights.
• Follow Community Guidelines.

Users are responsible for their actions both on and off the Platform.

10. PROHIBITED CONDUCT

Users shall not:

• Harass, threaten, or bully others
• Stalk or impersonate others
• Commit fraud or conduct scams
• Spread malware or share unlawful content
• Promote violence or share hateful content
• Misrepresent identity or solicit funds fraudulently

Violation may result in immediate suspension or termination.

11. USER PROFILE INFORMATION

Users are responsible for profile content they create.

Profile information must not be false, misleading, violate third-party intellectual property or privacy rights, or promote unlawful activity.

Charm’d may review, remove, or restrict profiles at its discretion.

12. PROFILE PHOTOS & VIDEOS

Users may upload profile photos, verification photos, introductory videos, and community media. Users represent that they possess the rights necessary to upload such content.

Charm’d may review content for safety, compliance, moderation, and abuse prevention. Content violating Platform policies may be removed.

13. VERIFICATION SERVICES

Charm’d may offer profile verification, identity verification, trust indicators, and verification badges. Verification services are informational only.

Verification does not guarantee identity, character, intentions, conduct, or safety. Users should exercise independent judgment.

14. COMMUNITY PARTICIPATION

Users participating in communities must respect others, follow moderation rules, and avoid disruptive or harassing behaviour.

Charm’d may remove content, restrict participation, or suspend access to maintain community integrity.

15. MESSAGING SERVICES

Users may communicate through Platform messaging tools and remain solely responsible for communications.

Charm’d may investigate communications to investigate reports, prevent abuse, enforce policies, or comply with law.

16. USER GENERATED CONTENT

Charm’d allows users to create, upload, publish, submit, transmit, and share content through the Platform (e.g. profile details, photos, videos, messages, community posts, reviews, feedback).

Users remain solely responsible for content they distribute. Charm’d does not endorse or guarantee the accuracy of user-generated content.

17. USER CONTENT REPRESENTATIONS

By uploading content, users represent that they own the content or possess necessary rights, and that it does not infringe third-party intellectual property, privacy rights, or violate laws.

Users assume responsibility for any claims arising from uploaded content.

18. LICENSE GRANTED TO CHARM’D

By uploading content to the Platform, users grant Charm’d a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, display, process, reproduce, distribute, modify, and analyze such content for Platform operations, service delivery, moderation, safety, analytics, and product improvements.

This license continues for as long as reasonably necessary to operate and maintain Platform services.

19. CONTENT MODERATION

Charm’d reserves the right to review, restrict, remove, or disable content believed to violate policies, laws, or threaten user safety.

Content moderation may involve automated systems, human review, user reports, and third-party investigations.

20. INTELLECTUAL PROPERTY

All Platform intellectual property (e.g. trademarks, logos, software, source code, designs, and content created by Charm’d) remains the exclusive property of Aureon Leon Private Limited. No ownership rights are transferred to users.

21. TRADEMARKS

"Charm’d," Charm’d logos, and associated branding constitute protected intellectual property. Users may not use Platform intellectual property without prior written permission.

22. FEEDBACK

Users may provide suggestions, feature requests, or product feedback. Users acknowledge that Charm’d may use such feedback without compensation or attribution.

23. EVENTS & EXPERIENCES

Charm’d may facilitate social events, meetups, workshops, and gatherings. Participation is voluntary. Charm’d may impose additional rules for specific events.

24. OFFLINE MEETINGS

Users agree that offline meetings initiated through the Platform occur entirely at their own risk.

Charm’d does not supervise meetings, cannot guarantee user behaviour, and is not responsible for personal safety.

Users are encouraged to meet in public locations, inform trusted contacts, and exercise caution.

25. SAFETY RESPONSIBILITIES

Users remain responsible for verifying identities, protecting personal information, and reporting suspicious activity. Charm’d does not guarantee user safety.

26. USER REPORTING SYSTEMS

Users may report harassment, fraud, abuse, or policy violations. Charm’d may investigate reports and take action where appropriate.

27. INVESTIGATIONS

Charm’d may investigate complaints, allegations, and policy violations. Investigations may involve reviewing content, account activity, and communications.

28. USER-TO-USER DISPUTES

Disputes between users remain the responsibility of the users involved. Charm’d is not obligated to mediate and is released from claims arising from personal disagreements or relationship outcomes.

29. PHYSICAL GIFTING SERVICES

Charm’d may provide gifting services coordination. Gifting services involve product selection and delivery coordination, which may engage third-party fulfilment and logistics vendors.

30. GIFT DELIVERY DISCLAIMERS

Charm’d does not guarantee delivery timelines, product availability, or vendor performance. Delivery delays may occur due to circumstances beyond Charm’d’s control.

31. GIFT RETURNS & REFUNDS

Return and refund eligibility depends on product type, vendor policies, and fulfilment conditions. Certain gifts may be non-refundable.

32. PREMIUM SUBSCRIPTIONS

Charm’d may offer premium memberships, subscription services, or enhanced features. Subscriptions may be subject to recurring fees disclosed before purchase.

33. BILLING AUTHORIZATION

By purchasing premium services, users authorize applicable payment providers to process charges and manage recurring billing. Users remain responsible for applicable taxes.

34. SUBSCRIPTION RENEWALS

Subscriptions may renew automatically. Users are responsible for managing subscription and cancellation preferences.

35. REFUND POLICY

Unless otherwise required by law, subscription fees and premium feature purchases are non-refundable.

Charm’d may review exceptional refund requests at its discretion.

36. PROMOTIONS & DISCOUNTS

Charm’d may offer discounts or promotional campaigns. Promotional offers may be modified, suspended, or terminated at any time.

37. FUTURE REWARDS, POINTS & TOKEN SYSTEMS

Charm’d may introduce rewards programs, points, digital credits, or token-based experiences. Unless stated otherwise, rewards have no cash value, are non-transferable, and may expire or be discontinued at Charm’d’s sole discretion.

38. ARTIFICIAL INTELLIGENCE & COMPATIBILITY SYSTEMS

Charm’d utilizes algorithms and AI systems to process user profile answers, preferences, and activity patterns to deliver matchmaking recommendations.

AI recommendations are probabilistic, may be imperfect, do not constitute professional advice, and do not guarantee compatibility.

Users remain solely responsible for decisions made based on recommendations.

39. NO PROFESSIONAL ADVICE

Charm’d does not provide psychological, counselling, mental health, legal, therapy, or financial advice. Any Platform content is for informational purposes only.

40. THIRD-PARTY SERVICES

The Platform may integrate with third-party service providers (payment, logistics, verification). Charm’d does not control these third-party services and is not responsible for their conduct, policies, or security incidents.

41. PLATFORM AVAILABILITY

Charm’d does not guarantee continuous, uninterrupted, or error-free Platform operation. The Platform may be modified, restricted, or discontinued without prior notice.

42. BETA FEATURES

Experimental or beta features may contain bugs and be withdrawn without notice. Users acknowledge the risks associated with beta functionality.

43. DISCLAIMER OF WARRANTIES

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. Charm’d disclaims all warranties (merchantability, fitness for a purpose, accuracy, availability, non-infringement).

Charm’d does not guarantee match quality, user authenticity, compatibility, or community behaviour.

44. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Aureon Leon Private Limited shall not be liable for indirect, consequential, special, incidental, or punitive damages, emotional distress, lost profits, or data loss arising from Platform use.

45. USER ASSUMPTION OF RISK

Users voluntarily assume all risks associated with online interactions, offline meetings, and relationship discovery on the Platform.

46. INDEMNIFICATION

Users agree to defend and indemnify Aureon Leon Private Limited, its directors, and affiliates against any claims arising from Platform misuse, user content, policy violations, or user conduct.

47. ACCOUNT RESTRICTIONS

Charm’d may restrict messaging, community rights, or general features to protect users, investigate misconduct, or comply with legal mandates.

48. ACCOUNT SUSPENSION

Charm’d may suspend accounts for fraud, harassment, impersonation, policy violations, or safety concerns. Decisions may be temporary or permanent.

49. ACCOUNT TERMINATION

Charm’d may terminate accounts at its sole discretion without prior notice to protect users or comply with law. Access ceases immediately upon termination.

50. APPEALS PROCESS

Users may request review of enforcement actions. Submission of an appeal does not guarantee reversal. Charm’d retains final decision authority.

51. FORCE MAJEURE

Charm’d is not liable for performance failures resulting from natural disasters, pandemics, government mandates, internet outages, or infrastructure failures.

52. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of India.

53. DISPUTE RESOLUTION

Before initiating formal proceedings, users agree to attempt good-faith dispute resolution by contacting Charm’d to seek an amicable resolution.

54. ARBITRATION

Where permitted by law, disputes may be referred to binding arbitration in Bengaluru, Karnataka, India. Proceedings shall be conducted in English.

55. JURISDICTION

Subject to arbitration, courts in Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes arising from these Terms.

56. SEVERABILITY

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain fully effective.

57. NO WAIVER

Failure to enforce any provision shall not constitute a waiver of rights. Any waiver must be made in writing.

58. ENTIRE AGREEMENT

These Terms and related Platform policies constitute the entire agreement between users and Charm’d, superseding prior understandings.

59. CHANGES TO TERMS

Charm’d may modify these Terms periodically. Updates become effective upon publication. Continued Platform use constitutes acceptance.
